41. Subject to the Companies Acts, the Secretary shall be appointed by the Council for such term, at such remuneration and upon such conditions consistent with the provisions of Clause 4 of the Memorandum of Association as the Council may think fit, and any Secretary so appointed by the Council may be removed by the Council.
42. Anything required or authorised to be done by or to the Secretary may, if the office is vacant or there is for any other reason no Secretary capable of acting, be done by or to any officer of the Association authorised in that behalf.
